1. AGREEMENT TO THE TERMS AND CONDITIONS (THE ‘TERMS’)

These Terms and Conditions (the ‘Terms’) govern the relationship between Regius Jets Ltd. C95742 with registered address at 50, Flat 1, The Warren Complex, Triq V. Menville, Ibragg, Swieqi, SWQ 2160  (“Regius Jets”, “we,” “us” or “our”) AND any one or more of our direct or indirect Client or Clients (‘you’ or ‘your’), including but not limited, to any person booking directly with us, or any person utilising our services via a booking done by another person, whether such booking or use of any kind is done physically or via electronic means, and also including any person who is using or booking via our Website www.regiusjets.com and/or our Application (the ‘Regius Jets’ App’).

Please read these Terms carefully before you start using our Services and/or Website and/or the Regius Jets’ App, and/or any other channel or platform we utilise. By using our Website, Regius Jets’ App and by using any of our Services, be it services provided physically and also any remote or electronically provided services, you agree with the terms and conditions stipulated herein, and you further warrant and agree that you understand them and shall abide by them at all times.

 

If you do not accept and agree to be bound by all of these Terms, you should refrain from using our Website, Regius Jets’ App and our services altogether. If you have any queries relating to the Terms, we kindly ask you to contact us.  Furthermore, any reference to ‘you’ or “your” shall also include any person whatsoever even who makes use of our Services, and henceforth, any such other person shall also be bound by the undertakings and terms herein.

These Terms shall be read and construed as part and parcel of any supplemental agreement/s which may be given to you by us from time to time to provide you with our Services as defined below.

2. INFORMATION ABOUT US

We are Regius Jets Ltd. (trading under the name Regius Jets) a company registered under the laws of Malta, under registration number C95742 and with registration address at 50, Flat 1, The Warren Complex, Triq V. Menville, Ibragg, Swieqi, SWQ 2160.

3. OUR SERVICES

Regius Jets provides a booking service for private charter aircrafts (including helicopters and medical aircrafts) operated in connection with any flight as described in the Aircraft Charter Agreement signed between us and yourself.

We will act as an intermediary between you as the Charterer and the Carrier, better defined as the airline whose quotation for the provision of a flight to you has been accepted from your end in accordance with the applicable agreement/s and our terms stipulated herein and in the Aircraft Charter Agreement.

On the basis of your enquiry, including availability, cost and price terms, restrictions and any other requests that you may need, we will present you with various alternatives of Carriers and private aircrafts. As soon as you confirm the Carrier and the private aircraft, we will provide you with a contract related to the selected private aircraft and the Carrier in terms of which you will be able to take the aircraft from the Carrier on charter upon the terms and conditions of the Carrier.

Please note that when booking a charter flight through Regius Jets, we will only be assisting you as an intermediary. Our aim is to make your enquiry, booking and flight with the Carrier easy and smooth, however you understand that you also need to abide with the terms of service and conditions of the Carrier. Each Carrier remains responsible at all times for the accuracy, completeness and correctness of the (descriptive) information (including the rates, fees, prices, policies, conditions and availability) displayed on our Website. Our Website does not constitute and should not be regarded as a recommendation or endorsement of the quality, service level, qualification or rating of any Carrier (its aircrafts, products or services) made available, unless explicitly indicated or set out otherwise.

1. YOUR WARRANTIES & REPRESENTATIONS

When using our Services, Website and/or Regius Jets’ App, you acknowledge, warrant and confirm that:

• You have the legal capacity and you agree to comply with these Terms and any supplemental agreements which may provide you with;
• All information that you submit to us, or our Website or on the Regius Jets’ App account, including your personal details is truthful, complete and accurate and that you have the right to submit such information to us;
• You agree to keep your Account details, Website log-in or password, and the Regius Jets’ App account login details secure and that do not provide access details to third parties or place your account at the disposal of third parties;
• You authorise us to transmit such information which is necessary for the purposes of obtaining information from third parties, such as your debit or credit card numbers to authenticate your identity and to validate your card details;
• You consent and give us permission to carry out due diligence and other background checks on you and your passengers and invitees as may be necessary for the carrying out of the service;
• You will provide us with all the necessary documentation and information reasonably requested by us at any time in order to perform due diligence and background checks and any other assessments processes which we may carry out to book your flight and to verify that you or your passengers or invitees do not violate any laws or regulations or economic or trade sanction law or travel bans;

You will not use any other person, such as a purchasing agent, to make bookings with us or use our Services on our Website and the Regius Jets’ App;

• You will not defraud, or mislead us and other users, in an attempt to learn any sensitive account information or make any unlawful use of our services or try to derive an unlawful gain or advantage from the use of our services;
• You will not permit others to copy, modify or reverse engineer the Website and the Regius Jets’App;
• You will not use our Services, Website, App or any other delivery channel for any illegal or unauthorised purpose;
• You shall not use any information obtained from the Website or the Regius Jets’ App in order to harass, abuse, or harm another person;
• Your use of our Services, Website and the Regius Jets’ App will not violate any applicable law or regulation;
• You will not tarnish, bring into disrepute or otherwise in anyway harm, us and/or the Website and the Regius Jets’ App;
• If you provide any information that is untrue, inaccurate, not current, or incomplete, we have the right to suspend or terminate your account and refuse any and all current or future use of our Services, the Website and the Regius Jets’ App (or any portion thereof);
• You will not create registration accounts for the purpose of abusing the functionality of our Services, Website and the Regius Jets’ App, or other users; nor will you seek to pass yourself off as another user.
• You elect, constitute and appoint Regius Jets as your true and lawful representative, limitedly for the purposes of arranging air transportation on the aircraft operated by the relevant Carrier of your choice. By appointing Regius Jets as your lawful representative you are hereby authorising Regius Jets to execute on your behalf any necessary documents in relation to air transportation services and any other services ancillary thereto to be obtained for yourself. Any lawful act done by Regius Jets on your behalf shall be effective, binding and valid on you in such manner as if you had executed, sealed and delivered the documents. Such appointment as your representative together with Regius Jets’ rights and powers are irrevocable and shall remain valid and effective until Regius Jets’ obligation to arrange for air transportation services have terminated.
• You and any other passengers and invitees will comply with the requirements, terms and conditions of the chosen Carrier in relation to all or any booked flight or any other ancillary service provided by the Carrier thereto;
• You hold harmless and indemnify us from and against all claims, demands, liabilities, actions, proceedings and costs of any kind whatsoever arising from any default on your part or any of your invitees or passengers in complying with these Terms and any supplemental agreements provided to you by us, including the Passenger Aircraft Charter Agreement;
• You will comply in all respects with the conditions of all permits, licences and authorities granted for the booked flight and will procure such compliance on the part of all your passengers or invitees;
• You comply and procure that all your invitees and passengers, including pets, where applicable, comply with all applicable customs, police, public health, immigration and other lawful regulations as may be applicable from time to time;

2. FEES AND PAYMENTS

We offer a payment gateway for Carriers through our Services at Regius Jets. You shall be obliged to pay the price for the charter (‘Charter Price’) at the time, in the amount, currency and to the account specified in accordance with the provisions set out in Aircraft Charter Agreement provided to you.

This Website and Regius Jets’ App are an aircraft charter booking platform and Regius Jets acts as a facilitator for Carriers. Regius Jets deducts a facilitation fee from the Charter Price before remitting the funds received from you as the Charterer to the Carrier for facilitating such relationship and this in terms of the Aircraft Charter Agreement.

Payments and settlements of sums due shall be made by utilising a credit or debit card or by bank transfer. You acknowledge and confirm that payments by credit or debit card may incur a payment processing fee which shall be notified to and borne by you. For the avoidance of doubt, debit and credit card charges are not refundable in the event of cancellation of flights or termination of the Aircraft Charter Agreement (including any other supplemental agreements). Any refunds or reimbursements due to you pursuant to these Terms or the Aircraft Charter Agreement may be made by credit or debit card to your originating bank account from which funds were originally received.

You warrant and agree that the payment credentials being used belong to you and that such payment credentials may be subject to verification checks and approval by our payment service providers.

Where the Carrier is unable to fulfil its obligations and perform a booked flight due to an aircraft technical failure, we shall use our reasonable commercial endeavours to find an appropriate aircraft replacement and we shall further disclose any additional costs to you. If we are successful in our search to find you an alternative aircraft but for any reason, you elect not to accept the replacement aircraft found by us as an alternative, we shall be entitled to retain all sums due to us under these Terms (including our facilitation fee) and the Aircraft Charter Agreement had you accepted the replacement aircraft. If we are not successful in finding a replacement aircraft, your remedy shall be a full refund of the Charter Price which shall exclude our facilitation fee in respect of that part of the Aircraft Charter Agreement which cannot be fulfilled due to the unavailability of the aircraft.

3. MEANS OF DISTANCE COMMUNICATION AND COSTS

We will not charge you any extra costs for the use of means of distance communication that we use in order to communicate, negotiate and enter into the Aircraft Charter Agreement with you. This means that there are no service charges for our communication with you via the internet or over the telephone.

4. PROOF OF CONCLUSION OF THE AIRCRAFT CHARTER AGREEMENT

In terms of EU Directive (2000/31/EC) on eCommerce and its national transpositions, as applicable, please be informed that the confirmation e-mail of your booking is the proof the conclusion of the Aircraft Charter Agreement between you and us.

 CONDITIONS OF CARRIAGE OF THE SELECTED CARRIER

As the Charterer, your carriage shall be subject to the conditions of carriage contained or referred to in the traffic documents, including the contract of carriage of your contracted Carrier as defined in legislation governing carriage by air and the party to the contract with you, disregarding if the contract has been concluded with you or by an agent on your behalf.

 THE AIRCRAFT CHARTER AGREEMENT AND THE CONTRACT OF CARRIAGE OF THE SELECTED CARRIER

 

Please note that when completing a booking with us, you will be entering into two separate agreements: (i) the Aircraft Charter Agreement entered into between us and yourself, and (ii) the Contract of Carriage for air transportation entered into with the selected Carrier. These two legal relationships are mutually independent, concluded with different parties, regulated with different rules, legislation and regulations and terms and conditions. 

7. 14-DAY NO WITHDRAWAL PERIOD 

Due to the nature and characteristics of our Services, we will be providing our Services immediately after the conclusion of the Aircraft Charter Agreement to be signed with you. Henceforth such Services will be provided before the expiration of the 14-day withdrawal period allowed in terms of EU Legislation. As a result, you are not allowed to withdraw from the Aircraft Charter Agreement within a 14-day period after the conclusion of said Agreement or at any time thereafter. This prohibition is also applicable if you are a citizen of an EU member state. Therefore, please note that your request made via conclusion of the Aircraft Charter Agreement shall be considered as a request for the immediate provision of our Services. 

8. LIABILITY & INDEMNIFICATION

You acknowledge and confirm that we are acting solely as an intermediary between you and the Carrier in connection with the provision of an aircraft for any flight and that the provision of the flight service and anything ancillary thereto shall be the sole responsibility of the Carrier.

Except as may be required by Regulation (EC) 2027/1997 as amended by Regulation (EC) 889/2002 or any other regulation or treaty, in each case to the extent actually applicable to Regius Jets, we shall not have, nor assume any responsibility or liability to you or your passengers or invitees for activities performed or services provided by any Carrier, and/or any Airport service that may be provided or offered in or by any being Airport utilised by you under the Services.

You further acknowledge and confirm that the obligation to ensure that the aircraft booked is manned, equipped and is fully functional during the period of the flight in accordance with the applicable laws and regulations shall be the sole responsibility of the Carrier.

The Carrier shall be solely responsible for all claims arising out of any and all occurrences, accidents, or incidents that occur on or in connection with the aircraft operated by the Carrier, including without limitation all personal injuries, property damage or loss, or wrongful death, or any other claim that may arise. We shall not be liable for any negligent act or omission by the Carrier or its personnel and we shall not be held responsible for any personal injury, property damage or loss, accidents, that may occur. Similarly, we cannot be held responsible for any personal injury, property damage or loss, accidents that may be directly or indirectly caused by any Airport or its personnel or agents.

We shall not be held liable under any contract, negligence, strict liability or other legal or equitable theory for any consequential, indirect, incidental, special punitive, exemplary or reliance damages, any amounts in excess of the price paid for a particular flight, or any matter beyond our reasonable control.

We shall not be held liable for any delay or cancellation of any flight or the non-availability of any seats of any aircraft booked with the Carrier, or for the failure by the Carrier to perform any of its obligations.

Please note that the liability in connection with the carriage of passengers, freight and baggage inside and outside the European Community is subject to the liability restrictions of EC Regulation No. 2027/97 as amended by EC Regulation No. 889/2002, the Convention for the Unification of Certain Rules of International Carriage by Air of 28 May 1999, or the Warsaw Convention for the Unification of Certain Rules relating to International Carriage by Air of 12 October  1929 as amended by the Hague Protocol of 28 September 1955, depending on whether the case involves national or international carriage as defined in the Warsaw Convention or Montreal Convention or the Guadalajara Convention 1961. 

9. NO WARRANTY

We provide the Website and the Regius Jets’ App, and the content and information related hereto on an “As Is” and “As Available” basis as permitted by law. We do not grant any express, implied or statutory warranties with respect to the Website and the Regius Jets’ App. We cannot guarantee nor be responsible for the security or privacy of the Website and the Regius Jets’ App or any information provided to you.

We hereby disclaim all liability for the Website and the Regius Jets’ App, in particular for the content displayed thereon. We shall likewise not be liable for any losses, damages or inconvenience arising from the unsuitability, unreliability, inaccuracy of the Website and the Regius Jets’ App or the impossibility to use the Website and the Regius Jets’ App. We cannot guarantee that the Website and the Regius Jets’ App will be uninterrupted, secure or error-free.

We do not guarantee that the Website and Regius Jets App will be available at all times as the internet and network connectivity may not always be available or fully functional. We do not guarantee that you will successfully download the Regius Jets App and any updates related thereto or allow the Regius Jets App to fully function at all times.

10. INTELLECTUAL PROPERTY RIGHTS

Unless stated otherwise, the software required for our Services or available at or used by our Website and the intellectual property rights (including the copyrights) of the contents and information of and material on our Website are owned by Regius Jets Ltd., its Carriers or providers.

Regius Jets exclusively retains ownership of all rights, title and interest in and to (all intellectual property rights of) (the look and feel (including infrastructure) of) the Website and the Regius Jets App on which the service is made available and you are not entitled to copy, hyper-link to, publish, promote, market integrate, utilise, combine or otherwise use the content or our tradename without our express written consent. To the extent that you would (wholly or partly) use or combine our content or would otherwise own any intellectual property rights on the Website or the Regius Jets App, you hereby assign, transfer and set over all such intellectual property rights to Regius Jets.

Any unlawful use or any of the aforementioned actions or behaviour will constitute a material infringement of our intellectual property rights.

11. PERSONAL DATA

Regius Jets Privacy and Cookie Policy, as updated from time to time,  form an integral part of these Terms and the details, including the manner in which we process your personal data are laid down in this Privacy Policy and the Cookie Policy.

By submitting personal data to Regius Jets about any natural person, including yourself, you hereby confirm that such person consents to the processing of personal data in accordance with our privacy policy and these Terms and that you shall information such persons of Regius Jets’ Terms and Privacy Policy.

We may require you or any other person authorised on your behalf to you use a password to access the Website and the Regius Jets’ App. It shall be your responsibility to ensure the confidentiality and security of such password and of the information which is stored on the Website and the Regius Jets’ App.

We shall not be liable for any loss or damage arising from any failure by you or any person authorised on your behalf to secure such password and information. You undertake to inform us with immediate effect in case of any actual or suspected breach of confidentiality and/or any authorised use of such password and information.

12. SECURITY

For the protection of your security and to prevent fraud, we will carry out checks, including verification of personal details in order to confirm that your credit or debit card is not used without your knowledge and consent. To this effect, we may make additional checks and ask for your cooperation to carry out these checks. All personal information will be processed in accordance to our Privacy Policy and any applicable data protection laws.

MODIFICATIONS

We reserve the right, in our sole discretion, to make changes or modifications to these Terms from time to time and for any reason. Therefore, it is your responsibility to periodically review these Terms to stay informed of updates. If you continue to the use the Website and the Regius Jets’ App after changes have been affected, your use of the Website and the Regius Jets’ App indicates your agreement to be bound by the new Terms and therefore shall be deemed as an acceptance of the changes in the revised Terms.

We also reserve the right to change, modify, or remove the contents of the Website and the Regius Jets App, at any time or for any reason at our sole discretion without any prior notice. We also reserve the right to update, modify or discontinue all or part of the Website and the Regius Jets App without notice at any time. Furthermore, we will not be liable to you or any third party for any modification, price change, suspension, or discontinuance of the Website and/or the Regius Jets App.

14. INDEMNIFICATION

You, as the Charterer shall be responsible for any harm caused to an aircraft booked caused by yourself, your passengers and invitees. You agree to defend, indemnify, and hold us harmless, including our subsidiaries, affiliates, and all of our respective officers, directors, agents, partners, suppliers and employees, from and against any loss, damage, liability, claim, or demand, costs and expenses, including reasonable legal fees arising out of a breach of these Terms by you or which may fall upon Regius Jets by reason of any act or omission caused by yourself, your assignees, agents, employees and invitees.

15. THIRD-PARTY LINKS

Our Website may include third party links to other websites or material which is beyond our control. We are not responsible for such websites or material nor do we review or endorse them. For such reasons, we will not be liable, whether directly or indirectly, for the privacy practices or content of such sites nor for any damage, loss or offence caused or alleged to be caused in connection with, the use of or reliance on any such advertising, content, products, material or services available on such external websites or resources. 

16. GOVERNING LAW, PLACE OF JURISDICTION & DISPUTE RESOLUTION

These Terms and your use of our Services, the Website and Regius Jets’ App are governed by and construed in accordance with the laws of Malta applicable to agreements made and to be entirely performed within Malta, without regard to its conflict of law principles.

Any dispute arising from or relating to the interpretation, execution validity or efficacy of these Terms and of any other contract entered into with you will be submitted to the exclusive jurisdiction of the Courts of Malta.

Pursuant to the EU Regulation No. 524,2013, EU consumers are also entitled to commence the out-of-court settlement of consumer disputes online through the ODR platform for the online resolution of consumer disputes accessible at (ec.europa.eu/consumers/odr). Please note that this regulation applies only when consumers are natural persons as defined in the said regulation.

17. WAIVER

No waiver by us shall be construed as a waiver of any proceeding or succeeding breach of any provisions of these Terms.

18. SEVERANCE

If any part of these Terms shall be deemed unlawful, void or for any reason unenforceable, then that provision shall be deemed severable from these Terms and shall not affect the validity and enforceability of any remaining provisions of these Terms.

19. GENERAL

Any services provided to you through our Website and the Regius Jets’ App may not be re-sold to any third party. You are prohibited from purchasing or arranging for any services through our Website and the Regius Jets’ App as an agent, broker or sub-contractor for any third party.

When providing our Services, we will always comply with all applicable laws and regulations of Malta and the European Union, including data protection laws.
